Terms of Use

These Terms of Use (“Terms”) govern access to and use of the Venue Advantage platform, its applications and integrations, and our website (together, the “Service”). The Service is provided by Venue Advantage Inc. (“Venue Advantage”, “we”, “us”).

By creating an account, connecting an integration or otherwise using the Service, you agree to these Terms on behalf of yourself and the organization you represent (“Customer”, “you”). If your organization has signed a separate agreement or order form with us, that agreement governs where it conflicts with these Terms.

1. Who may use the Service

The Service is for business use. You must be at least 18 and authorized to accept these Terms for your organization. Customer is responsible for the people it invites to the Service (“Users”) and for everything done under its accounts.

Keep your login credentials confidential and tell us promptly at info@venue-advantage.com if you believe your account has been accessed without permission.

2. Beta and pre-release features

Some features, or the Service as a whole, may be offered as beta, preview or pre-release. These features are provided for evaluation, may change or be withdrawn at any time, and may not be as reliable as generally available features. Please do not rely on them for critical business processes.

3. Your data

Ownership. Customer keeps all rights to the data, content and files that Users submit to the Service or that the Service retrieves on their behalf (“Customer Data”).

Our use. You grant us a limited license to host, process, transmit and display Customer Data only as needed to provide, secure and support the Service, and as described in our Privacy Policy. We do not sell Customer Data.

Your responsibilities. You are responsible for the accuracy and legality of Customer Data, and for having any notices and consents needed for us to process it, including for contacts whose details you add to the Service or to whom you send materials through it.

4. Integrations

The Service can connect to third-party products, such as email and calendar services. When a User connects an integration, they authorize the Service to access that product on their behalf, within the permissions shown at the time of connection. Your use of a third-party product is governed by that provider’s own terms. We are not responsible for third-party products, and a change by a provider may affect an integration.

A User can disconnect an integration at any time from the Service. An administrator can also withdraw access through their organization’s own account settings.

5. AI features

Some features use artificial intelligence to generate or transform content. AI output can be inaccurate or incomplete. Review it before relying on it or sending it to anyone. You are responsible for how you use AI output.

6. Acceptable use

You agree not to, and not to allow anyone else to:

  • use the Service in violation of law, or to send spam or unlawful, deceptive or harassing communications;

  • upload malicious code or content you do not have the right to use;

  • attempt to access accounts, data or systems you are not authorized to access, or probe, scan or test the Service’s vulnerability without our written permission;

  • interfere with or disrupt the Service, or use it in a way that places an unreasonable load on it;

  • copy, resell or sublicense the Service, or reverse engineer it except where the law allows this despite this restriction;

  • use the Service to build a competing product.

We may suspend access that we reasonably believe breaches this section or threatens the security of the Service. Where practical, we will tell you first.

7. Fees

Fees, if any, are set out in your order form or agreement with us. Unless that document says otherwise, fees are payable in advance and are non-refundable.

8. Confidentiality

Each party will protect the other’s non-public business information that it receives in connection with the Service, using at least reasonable care, and will use it only to perform under these Terms.

9. Our intellectual property

The Service, including its software, design and documentation, belongs to Venue Advantage and its licensors. Apart from the right to use the Service under these Terms, no rights are granted to you. If you send us feedback, we may use it without obligation to you.

10. Term and termination

These Terms apply while you use the Service. Either party may end them by written notice if the other materially breaches them and does not fix the breach within 30 days. You may stop using the Service at any time.

When these Terms end, your right to use the Service ends. For 30 days afterwards you may ask us to export Customer Data, after which we will delete it as described in our Privacy Policy, except where the law requires us to keep it.

11. Disclaimers

Except as expressly stated in a signed agreement, the Service is provided “as is” and “as available”. To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement. We do not promise that the Service will be uninterrupted or error-free.

12. Limitation of liability

To the fullest extent permitted by law, neither party will be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data, even if it was advised of the possibility.

Each party’s total liability arising out of these Terms is limited to the amount Customer paid us for the Service in the 12 months before the event giving rise to the claim. These limits do not apply to a party’s indemnity obligations, a breach of confidentiality, or a party’s gross negligence, fraud or wilful misconduct.

13. Indemnity

You will defend and indemnify Venue Advantage against third-party claims arising from Customer Data or from your use of the Service in breach of these Terms or the law.

14. Changes to these Terms

We may update these Terms. If a change is material, we will tell you by email or in the Service at least 30 days before it takes effect. Continuing to use the Service after a change takes effect means you accept it.

15. General

These Terms are governed by the laws of the State of New Jersey, without regard to conflict-of-law rules, and the state and federal courts located in New Jersey have exclusive jurisdiction. Neither party may assign these Terms without the other’s consent, except to a successor in a merger or sale of substantially all its assets. If any provision is unenforceable, the rest remains in effect. A failure to enforce a provision is not a waiver.
